This template covers the clauses of the articles of association (statuts) of an EURL, the single-member form of the Algerian SARL: form, purpose, name, registered office, capital, management, decisions of the sole partner, accounts, dissolution. In Algeria these articles must be drawn up by a notary. The outline helps you prepare your choices and check the draft deed before signing.

EURL: how it differs from an SARL

The EURL is an SARL with only one partner. The Commercial Code defines the SARL as a company formed by one or more persons who bear losses only up to their contributions, so the capital rules are identical. What changes is how the company runs: there is no general meeting, the sole partner decides alone, and those decisions must be in writing.

When to use this template

  • You are setting up a company on your own and want your liability limited to what you contribute.
  • You want to reach the notary with the purpose, capital and choice of manager already settled.
  • You live abroad and want to read the clauses before signing a power of attorney for the formation.
  • You are torn between EURL and SARL: comparing this template with the SARL one shows what actually changes.

Choices to make

  1. 1

    Purpose (article 2)

Use the activity titles and codes of the trade register's list. For a regulated activity, check before signing whether a licence or a diploma is required.

  2. 2

    Company name (article 3)

Get the CNRC name certificate first. The name in the articles must be identical, down to the last character.

  3. 3

    Capital (articles 6 to 8)

The amount has been free since Law No. 15-20. Cash contributions are paid up by at least one fifth at formation, contributions in kind in full. If you do not pay everything at once, write a schedule for the balance.

  4. 4

    Manager (article 12)

You can be the manager yourself (option A) or appoint a third party who is a natural person (option B). If you appoint someone else, list in writing the acts they cannot carry out without your consent.

  5. 5

    Succession (article 11)

Plan what happens on your death: your heirs become partners. A clear clause avoids a company left without a manager.

Commercial Code rules to know

Common mistakes

  • Believing limited liability protects you from everything: a management fault or a personal guarantee given to a bank puts your own assets at risk.
  • Mixing the company account with your own: the EURL has its own assets, and every withdrawal must match a salary or a dividend decided in writing.
  • Keeping no register of decisions: the approval of accounts and major decisions must be written down and kept.
  • Reusing old articles that impose a 100,000 DA minimum capital: that rule has not existed since 2015.
  • Forgetting to amend the articles when a second partner joins: the company then becomes an ordinary SARL.

After signing

  1. The notary gives you the certified copies of the deed needed for the formalities.
  2. You file the registration with the CNRC together with the beneficial ownership declaration. The company gains legal personality on registration (Commercial Code, art. 549).
  3. You complete tax registration (NIF) and the declaration of existence.
  4. You obtain the NIS (statistical identification number) from the ONS, the national statistics office.
  5. The manager joins the social security fund that matches their status.

Frequently asked questions

Is an EURL a kind of SARL?

Yes. The Commercial Code defines the SARL as a company formed by one or more persons. The EURL is the SARL with only one, called the sole partner (associé unique). Capital and liability rules are the same; only decisions and share transfers work differently.

Can I be both the sole partner and the manager?

Yes, that is the most common set-up (option A of article 12). You may also appoint an outside manager, who must be a natural person. In that case, limit their powers in writing for major acts.

What is the minimum capital for an EURL?

There is no legal minimum since Law No. 15-20 of 30 December 2015: you set the capital freely. Cash contributions must be paid up by at least one fifth at formation, and the capital must appear on all company documents.

How does the sole partner approve the accounts?

Through a written, dated and signed decision taken within six months of the year end and recorded in the register of decisions. No meeting is needed. The approved accounts are then filed with the CNRC.

What happens if I take on a partner later?

As soon as a second partner joins, through a share transfer or a capital increase, the company becomes an ordinary SARL. The articles must be amended by notarial deed, in particular to organise meetings and approval of new partners, and the trade register must be updated.

Can I register my EURL without premises?

Yes, with a notarised domiciliation contract, which serves as proof of registered office for the CNRC. At Neuron Cowork in Dely Brahim: 6,000 DA per month, contracts of 1 year or 2 years, ready within 3 days at most, on presentation of an ID document and a birth certificate.
