When you need one
- You cannot go to the counters yourself (work, distance, health) and a partner or relative files for you.
- You live abroad and the company is being formed in Algeria while you are away.
- You hand the file to a firm or adviser who must be able to file and collect documents in your name.
- Several partners are forming the company and one of them handles all the formalities.
Certified signature or notarial deed: which form
| What the attorney will do | Usual form | Where to get it |
|---|---|---|
| File and collect documents at the CNRC, tax office, ONS, CASNOS | Written power of attorney with the grantor's signature certified | Signature certification office at the APC (town hall) |
| Sign the articles or another notarial deed for you | Authentic power of attorney | At a notary's office |
| Grantor living abroad | Power of attorney made or certified by the consular authority | Algerian consulate in the country of residence |
| Grantor abroad, power of attorney signed before a local notary | Apostille from the country of residence if it applies the Hague Convention with Algeria, otherwise consular legalisation, then Arabic translation | Competent authority of the country of residence |
| Open or operate the bank account | Depends on the bank's rules; banks often require the manager in person | Ask the branch |
What to adapt in the template
- 1
Identify both people
Name, date and place of birth, address, ID number and issue date, exactly as on the documents. A single typo can lead to a refusal.
- 2
List the steps one by one
Keep only the bodies concerned (points 1 to 5) and add anything missing. A vague power (“all formalities”) is often refused at the counter.
- 3
Set the limits
The “Limits” paragraph protects the grantor. If you want to authorise a major act, write it out expressly and check the form it requires.
- 4
Set a term
Give an end date or the completion of the formalities. A power of attorney with no time limit remains risky if you forget to revoke it.
- 5
Have the signature certified
Sign in front of the APC officer who certifies it, or have the deed made by a notary or at the consulate, depending on the purpose. Keep several originals.
Common mistakes
- Using a private power of attorney to sign the articles: the notary will refuse it.
- Forgetting the word “collect”: the attorney can file the documents but cannot pick up the trade register extract.
- Granting unlimited power over company funds or the bank account when the job is only to file documents.
- Not attaching copies of the grantor's and attorney's ID when the counter asks for them.
- Leaving a power of attorney in circulation once the formalities are done: revoke it in writing if it has no end date.
If a person or a firm files the documents for you, including as part of a full support service, this document is what gives them authority to act. If you would rather file yourself, at setup, the “we fill it in for you” option avoids the power of attorney altogether: we fill in the setup forms (5,000 DA for a company, 2,000 DA for a sole trader), you file them.
