Domiciling a SPA: what the law allows and what to plan for

A SPA (joint-stock company) can set its registered office at a domiciliation address, just like a SARL, as long as a notarised contract in the company's name proves that office to the CNRC (National Trade Register Centre). It is a common choice for a service SPA or a project company that does not need premises day to day. You do need a place for board and shareholder meetings: at Neuron Cowork in Dely Brahim, domiciliation costs 6,000 DA a month and the meeting room 5,000 DA a day.

A SPA proves its office like any company

The SPA is the form for capital companies, with shareholders and heavier governing bodies than a SARL: a board of directors or management board, shareholder meetings, a statutory auditor. For the registered office, the rule is the same as for other commercial companies: it is set by the articles, and the company only has legal personality after registration.

For a legal entity, the CNRC asks for a title deed to the premises or a notarised lease in the company's name. A domiciliation contract signed before a notary is one of the accepted proofs of office. A SPA's minimum capital and number of shareholders are covered on the page about setting one up.

What a domiciled SPA needs to organise

Meetings

A SPA convenes its board and shareholders several times a year, if only to approve the accounts. Those meetings need a room. At Neuron Cowork, the meeting room costs 5,000 DA a day, at the same address as the registered office.

Mail and notices

Official letters (tax authority, banks, shareholders) arrive at the registered office. At Neuron, mail is received and you are notified when it arrives. Appoint someone in-house to collect it.

Visits

A partner, a bank or an investor may want to meet you. A business address in a real workspace, with an office or room available to rent, handles these appointments better than a simple letterbox.

What domiciliation does not cover

  • Selling to the public: retail needs a shop.
  • Storing goods: you need a warehouse or storeroom.
  • Production: a factory or workshop is still required.
  • Regulated activities that require compliant premises to obtain their licence.
  • A team's daily work: for that, rent an office (at Neuron, 15,000 DA a month unfurnished, 20,000 DA furnished).

Domiciling your SPA step by step

  1. 1

    Validate the activity

Confirm that the SPA's purpose involves no sales to the public, no storage and no production on site.

  2. 2

    Reserve the company name

Obtain the company name certificate from the CNRC.

  3. 3

    Sign the domiciliation contract

The legal representative sends Neuron their ID and birth certificate. The notarised contract is ready within 3 days.

  4. 4

    Have the articles drawn up

The notary enters the domiciliation address as the registered office in the SPA's articles.

  5. 5

    Register the SPA

File with the CNRC, then move on to tax and social security formalities.

The cost

At Neuron Cowork: 6,000 DA a month for the address, that is 72,000 DA for a year. A day in the meeting room costs 5,000 DA. A SPA that convenes its bodies four times a year therefore spends 92,000 DA over the year on its office and meetings, without renting offices.

Transferring an existing SPA's office

Since the address is in the articles, a transfer of office requires a decision by the competent bodies under the articles and the Commercial Code, a notarial deed amending the articles, and then an amendment of the trade register entry. The new domiciliation contract serves as proof. The amendment must be started within one month at most of the change (article 4 bis of Law 04-08, inserted by Law 26-12 of 8 June 2026).

Frequently asked questions

Can a SPA be domiciled?

Yes. Like any commercial company, it must prove an office to the CNRC with a title deed or a notarised contract in its name. A notarised domiciliation contract is one of the accepted proofs.

Who signs a SPA's domiciliation contract?

The legal representative named in the articles. Neuron asks for their ID and birth certificate.

Where should the board or shareholders' meeting be held?

At the place set by the articles or the notice of meeting. If you are domiciled at Neuron, the meeting room costs 5,000 DA a day at the same address.

Can a new SPA elect domicile with its statutory auditor?

Yes, if it is a first-time investor with no office: article 21 of Law 04-08 lists the statutory auditor, chartered accountant, lawyer, notary and the legal representative's residence. It is limited to two years, renewable once.

Is domiciliation enough for an industrial SPA?

It can suit the administrative head office, but production itself needs a suitable site. Send your activity code to Neuron for an answer before signing anything.

How much does SPA domiciliation cost at Neuron?

The same as for any company: 6,000 DA a month, with a 1-year or 2-year contract.
