Registering a company in Algeria's trade register (SARL, EURL, SPA)

To exist legally, an SARL, EURL or SPA must be registered in the trade register at the CNRC (National Trade Register Centre) office of the wilaya where its head office is. The file contains the CNRC form, the notarised articles of association, the notice published in the BOAL, proof of head office, a 4,000 DA stamp duty and the registration fee receipt. The notary can also file the application online.

What this form is for

The registration form is the official application by which a company enters the trade register. Once the file is accepted, the CNRC issues the trade register extract, the document that proves the company exists and may carry out its activity.

Under the Commercial Code, a company only acquires legal personality from the date of its registration. Before that date it cannot invoice, open a business bank account or obtain its NIF (tax identification number).

  • The extract shows the register number, company name, legal form, head office, capital and activities.
  • Tax offices, the ONS (National Statistics Office), CASNOS (social security fund for the self-employed), your bank and your clients will ask for it.
  • Each activity is recorded under a code from the official list of economic activities subject to trade registration.

Who must file it

Every commercial company under Algerian law must register: SARL (limited liability company), EURL (single-member limited liability company), SPA (joint-stock company), SNC (general partnership), limited partnerships and groupings.

  • The manager (or the chair for an SPA) signs the application on behalf of the company.
  • The notary who drafted the articles can file the application online.
  • An agent can file the file at the counter with a power of attorney.

Filling it in, step by step

  1. 1

    Reserve the name

Get the name certificate from the CNRC or on Sidjilcom. You then have 6 months.

  2. 2

    Secure a head office

Notarised lease in the company's name, title deed or notarised domiciliation contract.

  3. 3

Sign the articles at the notary

The notary drafts the articles and the BOAL notice, in Arabic and French.

  4. 4

4,000 DA stamp duty and the registration fee under the CNRC schedule. Keep the receipts.

Copy word for word the name, capital, head office, manager and activities stated in the articles.

    File the application

At the CNRC office of the head office's wilaya, or online through the notary.

  7. 7

    Collect the trade register extract

Check every entry. A mistake is later corrected by an amendment, which means a new file.

  8. 8

Move on to the next steps

Beneficial owners within the month, tax existence return (G No. 8) and NIF, NIS, CASNOS, company stamp, bank account.

Where to file it

The file goes to the local CNRC office of the wilaya where the head office is. For a head office in Dely Brahim, that is an Algiers office: ask which one covers your municipality before you go.

The CNRC also allows the application to be filed online through the notary who drew up the articles. Ask whether your notary offers this: they already hold the articles and the BOAL notice.

Head office: lease or domiciliation

The CNRC requires proof of premises in the company's name. If you have no premises, domiciliation solves this: at Neuron Cowork in Dely Brahim, the notarised domiciliation contract serves as proof of head office. It costs 6,000 DA per month (1-year or 2-year contracts) and is ready within 3 days at most. You only need an ID document and a birth certificate.

Deadlines

The first deadline to watch is the name certificate's: 6 months. The registration file must be filed before it expires, or the name may be given to someone else.

How long the extract takes depends on the office and on whether the file is complete. From our experience in Algiers, the trade register is usually ready within 10 to 15 days once the process starts (name, notary, filing). This is a rough guide, not a legal deadline.

StepTiming
Beneficial owner declaration to the CNRCWithin one month of registration
Tax existence return (G No. 8) and NIFRight after registration (see the G No. 8 page)
Manager's CASNOS affiliationAfter registration (see the CASNOS page)
After registration

Common mistakes

  • Filing a lease or contract in the manager's name instead of the company's.
  • Letting the name certificate expire while waiting for notary appointments.
  • Describing an activity in free wording that matches no code in the official list.
  • Forgetting the licence for a regulated activity: the file is blocked.
  • Entering a capital or share split that differs from the articles.
  • Forgetting the beneficial owner declaration, due within one month of registration.
  • Not proofreading the extract: a typo later requires a paid amendment.

Frequently asked questions

How much does it cost to register an SARL or EURL with the CNRC?

On the CNRC side, count the name certificate (800 DA), the stamp duty (4,000 DA) and the registration fee, from about 9,500 to 10,100 DA depending on capital under the published schedule, plus 240 DA per additional activity code. Notary fees and BOAL publication of the articles come on top.

How long does it take to get the trade register?

There is no single deadline: it depends on the office and on whether the file is complete. In Algiers, from our experience, the trade register is usually ready within 10 to 15 days once the process starts.

Is domiciliation accepted as a head office?

Yes. The CNRC asks for proof of premises in the company's name. A notarised domiciliation contract does that. At Neuron Cowork it costs 6,000 DA per month and is ready within 3 days at most.

Can registration be done online?

Yes, through the notary, according to the CNRC. The notary who drafted the articles submits the application online. Otherwise the file is filed at the office counter.

Is a criminal record extract still required?

The 2015 reform simplified the file, but some CNRC sheets still list the managers' birth certificate and criminal record extract. Check with your office before filing.

What comes right after registration?

Declare beneficial owners to the CNRC within the month, then file the tax existence return to get the NIF, request the NIS, register the manager with CASNOS, order the company stamp and open the bank account.

How many activities can be registered?

The schedule charges 240 DA per additional activity code. Activities must match the corporate purpose in the articles. A regulated activity also needs its licence.

Can you fill in the form for me?

Yes. Neuron Cowork fills in the registration form with the company's three other setup forms (beneficial owners, G no. 8, NIS): 5,000 DA for all four; you file it yourself. Full support, from name reservation to CASNOS, costs 60,000 DA, or 50,000 DA if the company is domiciled at Neuron (official fees excluded).
