Setting up an EURL in Algeria: the single-member company, step by step

An EURL is a SARL with a single partner: you set up a company on your own and bear its losses only up to your contribution. It is formed like a SARL (name at the CNRC, articles at the notary, notice in the BOAL, registration in the trade register), with capital set freely since 2015. It pays IBS (corporate tax) under the standard regime, and a sole partner who manages it is in principle covered by CASNOS (social security fund for the self-employed).

Who is the EURL for?

The EURL suits someone who wants to start a business alone while keeping personal assets separate from the business. Compared with registering as a natural person, it involves more formalities (notarised articles, company accounts), but your liability is limited to your contribution. Compared with a SARL, you do not have to agree with partners.

A company also makes some business relationships easier: your business clients deal with a legal entity identified by its trade register number, NIF (tax ID) and NIS (statistical ID). If a partner joins you one day, the EURL becomes a SARL without changing its nature.

Three ways to go it alone

The right choice depends on your activity, your expected turnover and the risk you take. The diagnostic below points you in the right direction in a few questions.

Which legal form fits your project?

Three questions. You get a recommendation and your starting budget.

Question 1 of 3

Are you starting alone or with others?

The steps, in order

  1. 1

    Check the activity

Find your activity code in the CNRC nomenclature of economic activities (NAE) and check whether it requires an approval or a licence.

  2. 2

    Reserve the company name

Ask the CNRC for the name certificate. Indicative fee observed: 2,000 DA.

  3. 3

    Secure a registered office

Gather a title deed, a lease or a notarised domiciliation contract. At Neuron in Dely Brahim: 6,000 DA per month, notarised contract of 1 year or 2 years, ready within 3 days at most.

  4. 4

Sign the articles at the notary

The articles name the sole partner, the amount of their contribution and the manager (you or another natural person). Expect about 30,000 DA depending on the capital (indicative).

  5. 5

Have the incorporation notice published in the BOAL

The notary drafts the incorporation notice in Arabic and French and has it inserted in the BOAL (Official Bulletin of Legal Notices), which can be done online. Keep a copy of the published notice: the CNRC asks for it in the registration file. Ask the notary whether the publication is included in the quote.

  6. 6

Register the EURL with the CNRC

File the legal entity registration form, the beneficial owners declaration, the articles, the copy of the BOAL notice, the name certificate and the proof of office, with the tax stamp (4,000 DA) and the CNRC fees (about 12,000 DA, indicative).

  7. 7

    Register with the tax office

Apply for the NIF and file the declaration of existence (G No. 8) at the tax centre covering the registered office, within the deadline set by the CIDTA.

  8. 8

    Get the NIS

Ask the ONS (National Statistics Office) for the statistical identification number, which banks require.

  9. 9

Register, make the stamp, open the account

Register with CASNOS if you are a non-salaried manager, have the company stamp made (about 3,500 DA) and open the EURL's bank account.

The sole partner and the manager

In an EURL, you alone decide what a SARL's general meeting would decide: approving the accounts, amending the articles, appointing the manager. Keep a written record of each decision: the bank, the tax office or the CNRC may ask for it, for example when the annual accounts are approved.

You can be the manager yourself or appoint another natural person. As sole partner and non-salaried manager, you are in principle covered by CASNOS, with a minimum of 43,200 DA per year in 2026 (15% of the annual SNMG, the guaranteed national minimum wage). A salaried manager is covered by CNAS.

Tax: what changes compared with a natural person

An EURL is a legal entity: it falls under the standard regime and pays IBS on its profits, with full company accounts. The simpler IFU (single flat-rate tax) covers natural persons whose turnover does not exceed 8,000,000 DA and professional civil companies: an EURL cannot use it.

Bringing in a partner later

If you sell part of your shares, or a new partner subscribes to a capital increase, the EURL becomes a SARL. The articles must be amended at the notary, then the change recorded in the trade register.

Frequently asked questions

What is the difference between an EURL and a SARL?

They are the same legal form. An EURL has one partner, a SARL has two to fifty. In an EURL, the sole partner alone takes the decisions that belong to the general meeting in a SARL.

What is the minimum capital for an EURL?

None. Since Law No. 15-20 of 30 December 2015, the capital is set freely in the articles. Choose an amount your bank and clients will find credible.

Can I be both sole partner and manager?

Yes, that is the most common case. You are then in principle covered by CASNOS, with a minimum contribution of 43,200 DA per year in 2026. You can also appoint another manager, who must be a natural person.

Can I set up an EURL while living abroad?

Yes. A representative holding a notarised power of attorney can carry out the formalities for you, and the registered office can be domiciled at Neuron in Dely Brahim under a notarised contract.

EURL or auto-entrepreneur: how do I choose?

The auto-entrepreneur status is lighter (no articles, 0.5% of turnover) but limited to a list of activities and to 5,000,000 DA of turnover. An EURL accepts any activity that is not prohibited, protects your assets and can take in a partner.

How much does it cost to set up an EURL?

Third-party fees observed by Neuron in 2026 come to about 51,500 DA (name, notary, tax stamp, CNRC, company stamp), excluding domiciliation and contributions. Neuron's full support costs 60,000 DA, or 50,000 DA if the EURL is domiciled at Neuron.

Can an EURL pay the IFU?

No. The IFU covers natural persons and professional civil companies. An EURL pays IBS under the standard regime.
