EURL or SARL: which one should you choose?

Choose the EURL if you start alone, the SARL if you have two to fifty members. Legally, an EURL is a SARL with a single member: free capital, liability limited to contributions, the same steps and the same fees. The difference lies in decision-making: the sole member decides alone, while SARL members decide together under the rules in the articles.

The differences, day to day

Making a decision

In an EURL, the sole member approves the accounts, appoints the manager and amends the articles alone, recording decisions in writing. In a SARL, these decisions are taken in a meeting, by the majorities set by the Commercial Code and the articles. The more members there are, the more the drafting of the articles matters.

Bringing in a member

In an EURL, the arrival of a second member turns the company into a standard SARL: the articles are amended (split of shares, voting rules), a BOAL notice is published and the trade register entry is updated. The legal entity stays the same. In a SARL, admitting an outsider follows the approval rules of the Commercial Code and the articles.

Protecting members from each other

A SARL works well when the articles cover everything: the manager's powers, conditions for transferring shares, a member's exit. With two members at 50% each, decide from the start how a disagreement will be settled, or the company may end up deadlocked.

The manager's social security status

A manager who is not an employee is enrolled with CASNOS, with an annual contribution of at least 43,200 DA. If a SARL has two such managers, each pays their own. The exact scheme depends on each person's situation: our CASNOS or CNAS guide covers the cases.

Recommendation by situation

Which legal form fits your project?

Three questions. You get a recommendation and your starting budget.

Question 1 of 3

Are you starting alone or with others?

What stays the same for both

  • The steps: name at the CNRC, articles before a notary, BOAL notice, trade register, beneficial owners, NIF and G n°8, NIS, CASNOS.
  • The need for a documented registered office: lease, title deed or domiciliation. At Neuron, 6,000 DA a month.
  • The observed fees: about 102,700 DA with one manager, excluding capital and office.
  • The timing: 10 to 15 days for the trade register and 4 to 5 weeks for the complete file, in our experience.

Do it yourself or get help

Once the form is chosen, follow our step-by-step guide. We can also fill in the setup forms (5,000 DA for a company's 4 forms), which you then file yourself, or follow the whole file for 60,000 DA, or 50,000 DA if the company is domiciled at Neuron (official fees excluded).

Frequently asked questions

What is the difference between an EURL and a SARL?

The number of members: one in an EURL, two to fifty in a SARL. An EURL is legally a single-member SARL, with the same rules on capital, liability and formation.

Is an EURL cheaper than a SARL?

The items are the same: about 102,700 DA in observed fees with one manager, excluding capital and office. A SARL costs more if several managers are enrolled with CASNOS (at least 43,200 DA a year each).

Can an EURL become a SARL?

Yes. The arrival of a second member turns the EURL into a SARL: the articles are amended before a notary, a BOAL notice is published and the trade register entry is updated. The legal entity stays the same.

What is the maximum number of members in a SARL?

Fifty, since Law No. 15-20 of 30 December 2015. Beyond that, consider another form such as the SPA.

Must the manager of an EURL be the sole member?

No. Management is entrusted to one or more natural persons, members or not. The sole member can manage personally or appoint a third party.

What capital for an EURL or a SARL?

The amount is free in both cases. At least one fifth of cash contributions is paid in with the notary at the start, the rest within five years of registration.

EURL or sole trader to start alone?

A sole trader costs less and involves fewer formalities, but your personal assets answer for debts. An EURL separates your assets from the company's, as a rule. Our auto-entrepreneur or sole trader comparison covers this case too.
