SARL articles of association template in Arabic (Algeria)

This template sets out in Arabic, article by article, the SARL articles of association outline published in French on this site: form, purpose, name, registered office, capital and shares, management, decisions, accounts, dissolution. It is useful if your notary drafts the deed in Arabic or if a partner prefers to read the text in Arabic. Like the French version, it prepares the notary appointment but does not replace the notarial deed, which is mandatory in Algeria.

When to choose the Arabic version

  • Your notary drafts deeds in Arabic and you want to bring an outline in the same language.
  • A partner reads legal Arabic more easily than French and wants to understand every clause before signing.
  • You want to compare the notary's Arabic draft with a complete outline to spot a missing clause.

The detailed explanations (choices to make, capital rules, mistakes to avoid) are on the French template page. Article numbers are identical in both versions: article 13 in Arabic matches article 13 in French.

What the Commercial Code says about capital

How to fill in the Arabic version

  1. 1

Write names as on the ID documents

Use the Arabic spelling of names exactly as on the national identity card or birth certificate. A spelling that differs from one document to another leads to refusals.

  2. 2

    Keep Western digits

Write amounts, dates and numbers in Western digits (100 000 دج), and the capital also in words, as article 7 requires.

  3. 3

    Copy the company name exactly

The name in article 3 must be the one on the CNRC certificate, without changing a single letter or the script.

  4. 4

    Remove every unused option

Each bracketed passage is either to be completed or to be chosen. The text given to the notary should contain none.

Frequently asked questions

Must the articles be written in Arabic?

The notary drafts the deed and chooses its language, in line with the regulations. Ask at your first contact. This template exists in Arabic and French so you can prepare the content in the language of the deed.

Does the Arabic version have the same content as the French one?

Yes. Both versions have the same 33 articles, in the same order, with the same bracketed options. You can work on one and check against the other.

How should amounts and dates be written?

In Western digits, for example 100 000 دج or 31 ديسمبر 2026. For the capital, add the amount in words in Arabic, as article 7 provides.

Can I mix French and Arabic in the same text?

Avoid it. Prepare an outline in one language, the language of the deed. Only the company name and, if needed, transliterated names may appear in both scripts, if the notary asks.

Is there a minimum capital?

No. Since Law No. 15-20 of 30 December 2015, partners set the capital freely. Cash contributions are paid up by at least one fifth at formation, contributions in kind in full.
